BREAKING NEWS!!! Disney Buys Marvel for $4 billion! What does this mean for Marvel Movies?!!!!
Posted: Wed Sep 02, 2009 12:42 pm Central Time
What does this mean for Marvel movies?!!! The Walt Disney Co. said Monday it is buying Marvel Entertainment Inc. for $4 billion in cash and stock, bringing such characters as Iron Man and Spider-Man into the family of Mickey Mouse and WALL-E.
Under the deal, Disney will acquire ownership of 5,000 Marvel characters. Many of them, including the Fantastic Four and the X-Men, were co-created by the comic book legend Stan Lee.
Analyst David Joyce of Miller Tabak & Co. said the acquisition will help Disney appeal to young men who have flocked to theaters to see Marvel's superhero fare in recent years. That contrasts with Disney's recent successes among young women with such fare as "Hannah Montana" and the Jonas Brothers.
"It helps Disney add exposure to a young male demographic it had sort of lost some balance with," Joyce said, noting the $4 billion offer was at "full price."
Disney said Marvel shareholders will receive $30 per share in cash, plus 0.745 Disney shares for every Marvel share they own. That values each Marvel share at $50 based on Friday's closing stock prices.
Marvel shares jumped $10.17, or 26 percent, to $48.82 shortly after the market opened. Disney shares fell 47 cents, or 1.8 percent, to $26.37.
Disney said the boards of both companies have approved the transaction, but it will require an antitrust review and the approval of Marvel shareholders.
Disney last made a big purchase in 2006 when it acquired Pixar Animation Studios Inc., the creator of the "Toy Story" franchise, for $7.4 billion in stock.
Disney CEO Robert Iger said the latest acquisition combines Marvel's "strong global brand and world-renowned library of characters" with Disney's "unparalleled global portfolio of entertainment properties" and ability to maximize value across multiple platforms and territories.
Marvel earned a net profit of $206 million last fiscal year, up 47 percent from a year earlier, on revenue of $676 million, as it took movie production in house instead of just cutting licensing deals.

All this means is that Marvel will have more money to do what it does best. _________________

As a Marvel fan,I do hope that the characters will stay true to form because that's it's big appeal to the public. This will indeed give them more working capital so please,Disney.....don't interfere with the structures. |

interesting. while i fear the influence disney may have on future movies, i think it is safe to say from their track record that they tend not to tamper with their subdivisions. touchstone pictures is a good example of that.
it seems like disney is just absorbing all of their competition. i heard elsewhere that they are also taking dreamworks under their wing for a 5 year contract deal. _________________ can't talk now, the ninjas are watching me think.

It really doesn't mean much of anything for existing movie franchises. Spider-man, X-Men, and Iron Man all are covered under existing contracts that Disney is legally bound to honor. The same goes for the Marvel characters featured at Universal Studios Florida -- Universal has exclusive rights to those characters for theme parks east of the Mississippi River. Spidey and Wolverine will not be appearing at Walt Disney World in Orlando until that deal expires, at which time Uni might have to shut down its Marvel Island of Adventure attractions and replace them with other rides.
Movies and TV shows featuring Marvel characters not currently licensed to other studios would probably be made by Disney. The Mouse House will make money off the existing deals regardless. (I suppose there's always a chance that current management could find loopholes and claim that a competitor voided its contract for the use of the character, but that would probably result in lawsuits creating bad PR for the company.)
UPDATED: Sony has apparently relinquished its television rights to Spider-man, even though Disney has not decided whether to renew the animated series currently seen on Disney XD. This was reportedly done in exchange for concessions regarding the movie franchise, which remains with Sony. Fox, meanwhile, decided after the Disney/Marvel deal to reboot its Fantastic Four series, aiming for a tone similar to Paramount's more successful Iron Man. Insiders say it is unlikely Paramount will seek to terminate its contracts, which include future projects involving Thor, Captain America, and the Avengers. Sounds like the studios want to hold on to the properties that are bringing in the big bucks, even if they also line Disney's pockets in the process. Meanwhile, Pixar is reported to be considering an Ant-Man movie. _________________ "Life moves pretty fast. You don't stop and look around once in a while, you could miss it." -- Ferris Bueller

I think the running fear in the comic community that Disney will cause Marvel to make their product more family friendly, series like Marvel Zombies would stop, but I don't really see this happening, your not going to pay 4 billion for a company and destroy it, I think it will be easier now for Marvel to finance their own movies, and once the license rights to characters like the Fantastic Four and X-Men run out, Marvel will do them inhouse like Iron man and Hulk and it's other upcoming movies. |
